Our wholly owned subsidiary, Ambridge Europe Limited, markets and distributes our products in the United Kingdom and other countries in the European Union and is authorized and regulated by the Financial Services Authority.
Our Products
Our Transactional Insurance products can bridge the gap between negotiating parties with insurance for financial exposures associated with many business or legal contingencies that prevent the completion of a transaction for reasons that include:
* the parties to the transaction cannot agree on how financial responsibility for a contingency will be allocated
* differing perceptions exist as to the magnitude of the potential exposure associated with a contingency
* the potential quantum of the exposure(s) associated with a contingency is significant relative to the size of the transaction
* a party wishes to wind up its affairs or liquidate and as such cannot assume financial responsibility
Transactional Insurance products offered by Ambridge Partners include:
* AvoidanceGap® Contingency Insurance which insures specific or one-off contingent business or legal exposures identified in connection with a
transaction.
* DisclosureGap® Representations & Warranties Insurance which insures damages suffered as a result of breaches of representations or warranties
made in a transaction contract.
* FiscalGap® Tax Deed Replacement Insurance which insures a purchaser against unexpected pre-completion tax liabilities that arise, or that are first
identified, in a target company after the completion date, in many instances replacing the need for a tax covenant that would typically respond to such
unexpected tax liabilities.
* InterpretationGap® Tax Insurance which insures against the financial impact of a successful challenge by a taxing authority to a tax position taken in
connection with a legitimate business transaction.
* LiquidationGap® Insurance for Private Investment Funds which insures a private equity fund that has been terminated or will be liquidated and its
managers for identified or unknown exposures relating to the operation of the fund and its investment program.
* Specialty Management Liability Insurance which insures specific liability exposures faced by boards of directors, management teams, fiduciaries,
liquidators, trustees and transaction related professionals in connection with a specific transaction or event and are flexibly designed to respond to a
wide variety of organizational structures including corporations, limited liability companies, partnerships or trusts.
